The scope, deliverables, timetable and assumptions applicable to a consulting engagement will be defined in the relevant proposal or contractual documentation.
Unless expressly agreed otherwise, Profession Croisières does not guarantee a particular commercial, financial or operational outcome from its consulting services.
Consulting recommendations may depend on information, assumptions and data supplied by the client or third parties.

6. Proposals and Acceptance
Proposals and quotations issued by Profession Croisières are subject to the terms stated in the relevant document.
Unless otherwise specified, a proposal remains valid for 30 days from its date.
A contract is formed when the client accepts the proposal or when both parties sign the applicable Service Agreement, whichever is applicable.
Profession Croisières reserves the right to decline an engagement where it considers that it cannot appropriately perform the requested services or where a conflict of interest or other legitimate reason exists.
7. Client Responsibilities

Unless otherwise agreed:
-
fees are stated exclusive of applicable VAT and taxes;
-
invoices are payable within 30 days from the invoice date;
-
payment must be made using the payment method specified on the invoice.
Any applicable taxes, expenses or third-party costs will be handled as specified in the relevant Service Agreement.
Late Payment
In accordance with applicable French law, late payment may result in:
-
late-payment interest calculated at the legally applicable rate;
-
the fixed statutory recovery charge applicable to professional transactions, currently €40, without prejudice to any additional compensation that may be available under applicable law.
Where legally permitted, Profession Croisières may suspend services in the event of overdue invoices after giving appropriate notice to the client.
9. Expenses
Reasonable business expenses incurred in connection with the services will be handled in accordance with the applicable Service Agreement.
Where prior approval is required, Profession Croisières will obtain the client's approval before incurring the relevant expense.
Supporting documentation may be provided where appropriate.
10. Intellectual Property
Unless otherwise agreed in writing, Profession Croisières retains ownership of its pre-existing intellectual property, methodologies, frameworks, templates, tools, know-how, models, processes and materials.
This includes materials developed independently of a specific client engagement.
Subject to full payment of the applicable fees, the client receives the rights expressly granted in the relevant Service Agreement to use the deliverables created specifically for the client.
Unless expressly agreed otherwise, the client may not:
-
resell Profession Croisières' proprietary materials;
-
reproduce or distribute them commercially;
-
make them available to third parties;
-
remove proprietary notices;
-
represent Profession Croisières' methodologies or materials as its own.
Nothing in these Terms transfers ownership of Profession Croisières' underlying know-how or intellectual property.
11. Client Materials
The client retains ownership of documents, data, trademarks, information and other materials supplied to Profession Croisières.
The client grants Profession Croisières the limited right to use such materials to the extent reasonably necessary to perform the agreed services.
The client represents that it has the necessary rights and permissions to provide those materials and authorize their use for the purposes of the engagement.
12. Confidentiality
Each party agrees to keep confidential information received from the other party in connection with the engagement confidential and to use it only for legitimate purposes related to the engagement.
Confidential information does not include information that:
-
is or becomes publicly available without breach of confidentiality;
-
was already lawfully known by the receiving party;
-
is lawfully received from a third party without confidentiality restrictions;
-
is independently developed without use of the confidential information;
-
must be disclosed by law, court order or competent authority.
Confidentiality obligations will continue after termination of the relevant engagement for as long as required by applicable law or the nature of the information.
13. Personal Data
Profession Croisières processes personal data in accordance with applicable data-protection legislation, including the GDPR (EU) 2016/679 and applicable French law.
Information about how personal data is collected and processed is provided in our Privacy Policy.
Where Profession Croisières processes personal data on behalf of a client as a data processor, the parties will implement the appropriate contractual arrangements required by applicable data-protection law.
14. Third-Party Services and Links
Profession Croisières may use third-party service providers in connection with its website or services.
Profession Croisières may also provide links to third-party websites.
Profession Croisières is not responsible for the content, availability, security or privacy practices of independent third-party websites or services.
Any use of third-party services may also be subject to the third party's own terms and conditions.
15. Professional Independence and Conflicts of Interest
Profession Croisières seeks to conduct its activities professionally and ethically.
Where a potential conflict of interest is identified that could materially affect an engagement, Profession Croisières will assess the situation and take appropriate measures.
Depending on the circumstances, this may include disclosure to the affected client, implementing appropriate safeguards, limiting the scope of the engagement or declining the engagement.
16. Liability
Profession Croisières will perform its contractual obligations with reasonable professional care and skill.
To the maximum extent permitted by applicable law, Profession Croisières shall not be liable for:
-
indirect or consequential losses;
-
loss of anticipated profits, revenue or business opportunities;
-
loss of reputation;
-
loss of data where appropriate backups were the client's responsibility;
-
decisions or actions taken independently by the client based on information or recommendations provided by Profession Croisières;
-
failures caused by third parties or circumstances outside Profession Croisières' reasonable control.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
For professional engagements, any contractual limitation of liability should be expressly agreed in the relevant Service Agreement and should be reviewed for enforceability under applicable French law.
17. Force Majeure
Neither party shall be liable for failure or delay in performing its obligations where such failure or delay results from an event beyond its reasonable control that could not reasonably have been anticipated or prevented.
Such events may include, where applicable:
-
natural disasters;
-
fire;
-
major telecommunications or internet failures;
-
cyber incidents affecting essential infrastructure;
-
governmental measures;
-
strikes or significant disruptions;
-
war, terrorism or civil unrest;
-
pandemics or similar public-health emergencies.
The affected party shall notify the other party as soon as reasonably practicable and take reasonable steps to mitigate the consequences.
18. Suspension and Termination
A Service Agreement may be terminated in accordance with its specific contractual provisions.
Where no specific termination provision applies, either party may terminate an ongoing engagement for material breach if the breach is not remedied within a reasonable period following written notice, where such remedy is possible.
Profession Croisières may suspend services where:
-
invoices remain materially overdue;
-
the client fails to provide information or cooperation necessary to perform the engagement;
-
continuing the engagement would create a legal, regulatory or ethical concern.
Termination shall not affect rights and obligations that accrued before termination.
Amounts due for services performed up to the effective date of termination remain payable.
19. Deliverables and Client Review
Where an engagement includes written reports, presentations, analyses or other deliverables, the client is responsible for reviewing those deliverables and notifying Profession Croisières of any material issue within 10 business days of delivery, unless a different period is specified in the Service Agreement.
Where appropriate, Profession Croisières will reasonably address errors or omissions falling within the agreed scope of work.
20. No Employment, Agency or Partnership
Unless expressly agreed in writing, the relationship between Profession Croisières and a client is that of independent contracting parties.
Nothing in these Terms creates:
-
an employment relationship;
-
a partnership;
-
a joint venture;
-
an agency relationship; or
-
authority for either party to bind the other.
21. Subcontracting
Profession Croisières may use qualified subcontractors or professional service providers where reasonably necessary to perform the services.
Profession Croisières remains responsible for managing such subcontractors to the extent required by the applicable Service Agreement and law.
Where legally required, appropriate confidentiality and data-protection obligations will be imposed on relevant subcontractors.
22. Website Intellectual Property
Unless otherwise stated, the website and its content, including:
-

We will endeavor to review and resolve legitimate complaints promptly and in good faith.
25. Applicable Law
These Terms are governed by French law, subject to any mandatory provisions of law that may apply.
26. Dispute Resolution
The parties will endeavor to resolve any dispute amicably before commencing legal proceedings.
Where the client is acting in a professional capacity, any dispute arising from or relating to the professional relationship shall, subject to applicable mandatory rules, be submitted to the competent courts in accordance with French procedural law.
Where mandatory consumer-protection rules apply, consumers retain any rights concerning jurisdiction and dispute-resolution mechanisms that cannot legally be excluded or restricted by contract.
If Profession Croisières enters into contracts exclusively with professional clients, the applicable Service Agreement may designate the competent courts of Paris, to the extent legally permissible.
27. Amendments
Profession Croisières may update these Terms from time to time.
The version applicable to a consulting engagement will generally be the version agreed or incorporated into the relevant Service Agreement.
For website use, the current version published on the website will apply from its stated effective date.
28. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall remain in effect to the extent permitted by law.
The parties will seek to replace the affected provision with a valid provision that most closely reflects its original purpose.
29. Entire Agreement
For consulting engagements, the applicable Service Agreement, proposal, quotation and any incorporated documents constitute the agreement between Profession Croisières and the client concerning the relevant services.
These Terms supplement those documents except where expressly modified or excluded in writing.
